Transaction Coordination Terms of Service

Scope of Services

We assist licensed real estate agents by managing the administrative side of their transactions. This includes document tracking, deadline monitoring, communication follow-up, and coordination from contract to close. We do not negotiate contracts or advise on legal or brokerage matters.

Client Responsibilities
  • Provide fully executed agreements and documents in a timely manner.
  • Supply all required contact information and broker-specific compliance requirements.
  • Maintain communication with clients, vendors, and cooperating agents as needed.
  • Final review of all documents and communications remains your responsibility.
Data Use & Confidentiality

We treat all data and documents shared with us as confidential. We do not sell, distribute, or disclose your transaction information except when required by law or when explicitly authorized by you.

Limitation of Liability

We are not responsible for delays or errors resulting from incomplete, incorrect, or untimely information provided by you. You agree to hold us harmless from any claims or losses that arise due to your failure to fulfill the above responsibilities.

Payment Terms

We aim to keep payment simple and transparent so you can focus on your clients, not paperwork. Please review the following payment policies to ensure timely and smooth processing:

  • Payment at Closing: If you choose to pay at closing, arrangements must be made in advance. Since we do not attend closings, checks must be mailed or dropped off at our office within 5 business days of the closing date.
  • Monthly Invoicing: For clients not paying at closing, we issue a single monthly invoice covering all completed transactions. Invoices are due within 30 days of the issue date.
  • Accepted Payment Methods: Payment can be made securely online by credit card or ACH payment or you can send a check to our office.
  • Late Payment: Invoices not paid by the due date and for which a credit card on file is no longer valid or declines will incur a 5% late fee.
Working With Our Team

We’re proud of the talented team that supports your business, and we ask that you help us protect that team. By working with The Contract Closing Team, you agree not to directly solicit, hire, or contract with any member of our staff for independent work outside of our services during your time working with us and for 12 months after your last service. This helps us maintain consistency and quality for all our clients.

Nature of Relationship

This is a professional services arrangement, not an employment or contractual partnership. We provide support on a per-transaction or as-agreed basis, and either party may end the relationship at any time. No long-term obligation is implied or created unless otherwise agreed to in writing. If services are canceled before a transaction is complete, payment is still required for all work performed up to the cancellation date.

Termination

Either party may terminate services at any time by providing written notice. Termination does not release the client from payment obligations for services already rendered.

Marketing Terms of Service

Scope of Services

We aim to simplify your marketing so you can stay focused on what you do best. Services include:

  • Print marketing design, such as flyers, postcards, and brochures
  • Development of branded marketing materials using our pre-designed brand kits
  • Email campaign design, including layout, copy formatting, and graphics
  • Marketing campaign management, including scheduling and deployment of approved materials
  • Creation of static social media graphics (images only; no video content)
Client Responsibilities

To ensure successful marketing execution, clients must:

  • Submit logos, headshots, written content, and branding preferences when requested
  • Provide timely access to necessary platforms
  • Respond promptly to proofs and approvals
  • Review and approve all content prior to final publishing, printing, or sending
  • Ensure the accuracy of all provided information and understand that final approval signifies acceptance of all content, including responsibility for any misprints, errors, or omissions
Data Use & Confidentiality

Materials, credentials, and information you provide will be kept strictly confidential. We do not share, sell, or use your information beyond the scope of delivering agreed services unless required by law or with written consent.

Limitation of Liability

While we take every precaution to execute your marketing accurately and professionally:

  • You are responsible for the accuracy of the information you provide
  • We are not liable for results based on inaccurate client content or instructions
  • We do not guarantee third-party platform delivery performance (e.g., email open rates, print vendor timelines, or CRM reliability)

Brokerage Compliance Terms of Service

Scope of Services

Our compliance services are offered on a contractual basis. The agreement begins on a mutually agreed-upon start date and remains active for a defined term. Unless either party provides written notice of non-renewal at least 60 days prior to the end of the current term, the agreement will automatically renew annually.

Client Responsibilities
  • We provide compliance review services for real estate brokerages. These services include:

    • Reviewing and managing documentation for each closed transaction and each new listing taken by your brokerage.
    • Ensuring submitted documentation aligns with state regulations and brokerage standards.
    • Communicating compliance needs and deficiencies clearly and promptly.
Payment Terms

We aim to keep payment straightforward and timely. Please review the following expectations:

  • We will issue a monthly invoice based on the number of completed transactions (closed files and listings) during that billing period.
  • Full payment is due within 30 days of receiving the invoice.
  • Payments can be made securely online by credit card or ACH payment or you can send a check to our office.
  • Payments not received by the due date may result in a 5% late fee. Continued delays may result in suspension of services until payment is received.
    Compensation
    • For smaller brokerages (those processing fewer than 75 transactions per month), we offer a flat rate of $500 per month for up to 30 transactions. Transactions exceeding this threshold within a month will incur an additional fee of $5 per transaction.
    • Larger brokerages may have customized pricing based on their specific volume and needs. These terms will be outlined in a separate agreement and discussed on a case-by-case basis.
      Pricing may be reviewed and adjusted at the beginning of each new contract term.

    Pricing details will be confirmed in writing prior to the start of service and outlined in your agreement.

    Evaluation Period
    After the initial 90 days of service, both parties agree to evaluate the workflow and rate per transaction. If needed, the compensation rate may be renegotiated in good faith to ensure fairness and sustainability for both parties.
    Issue Resolution & Termination
    • In the event of a dispute or operational concern, both parties agree to a 30-day cure period to resolve the issue before termination is considered.
    • Either party may terminate this agreement at the end of a term with 60 days’ written notice.
    • If an issue remains unresolved after the 30-day cure period, the agreement may be terminated by either party.
    Client Responsibilities

    To ensure smooth service delivery, clients agree to:

    • Provide timely access to transaction records and necessary reports.
    • Respond to compliance inquiries within a reasonable timeframe.
    • Notify us of any changes in brokerage policy, systems, or staff that may impact compliance workflows.
    Confidentiality & Liability
    • We will never share, sell, or distribute your information without your written consent.
    • You remain responsible for the accuracy and completeness of all documents and data provided.
    • We are not liable for delays, penalties, or compliance issues resulting from incomplete, inaccurate, or untimely information supplied by your office or agents.
